Terms of Use

1. Acceptance of Terms

By accessing or using Sutram (sutram.io), operated by Sutram Desenvolvimento de Software Ltda., you agree to be bound by these Terms of Use. If you do not agree to any part of these terms, you may not access the service.

2. Description of the Service

Sutram is a knowledge-management and content-collaboration platform — a knowledge layer built on top of your evidence — that lets you:

  • Create and manage projects with versioned files, messages, and content items
  • Organize content with folders, structured metadata, typed records, and relations
  • Structure knowledge — graphs, ontologies, and wiki pages — through AI assistants that you connect (via the MCP protocol and APIs, from any compatible provider, whether commercial or open source), under your governance and approval controls
  • Receive AI-assisted text-improvement suggestions in the markdown document editor
  • Collaborate with unlimited participants, with permission control and an audit trail

3. Eligibility

To use Sutram, you must:

  • Be at least 18 years old, or the age of legal majority in your jurisdiction
  • Have the legal capacity to enter into contracts
  • Not be barred from using the service under any applicable law

4. Your Account

4.1 Registration

You are responsible for maintaining the confidentiality of your account and password. When you create an account, you agree to:

  • Provide true, accurate, and complete information
  • Keep your information up to date
  • Notify us immediately of any unauthorized use

4.2 Account Security

You are responsible for all activity that occurs under your account. We recommend using strong, unique passwords.

5. Plans and Payments

5.1 Available Plans

We offer different plans with varying storage, bandwidth, and feature limits:

  • Basic: free, for personal use
  • Pro, Plus, Max: paid plans with additional features
  • Enterprise: custom plans for organizations

5.2 Billing

  • Paid plans are billed monthly or annually
  • Prices may change with 30 days' prior notice
  • Payments are processed by Paddle.com Market Limited (for payments in USD and EUR) or by Stripe (for payments in BRL), which act as our payment processors
  • Taxes. Prices shown for payments in BRL (Brazilian Real) already include all applicable taxes. For payments in USD or EUR processed by Paddle.com Market Limited, additional taxes (such as VAT, GST, or sales tax) may be added to the displayed price, in accordance with the tax laws of the buyer's country. Paddle.com acts as Merchant of Record and is responsible for calculating and collecting these taxes.

5.3 Refund Policy

We offer a 30-day money-back guarantee on your first subscription. If you are not satisfied with the service, you may request a full refund within 30 days of your first payment, no questions asked.

To request a refund, go to the Subscription page in your account settings and use the refund request form. When you submit your request, we ask that you share the reason so that we can continuously improve our service.

5.4 Cancellations and Renewals

Subscriptions renew automatically at the end of each billing period. You may cancel your subscription at any time before the renewal date via the Subscription page in your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until that date.

Because you have full control to cancel before any renewal, recurring charges are not eligible for a refund.

5.5 Usage Limits

Each plan has storage, bandwidth, and maximum file-size limits. Exceeding these limits may result in temporary restrictions until the next billing cycle or a plan upgrade.

6. User Content

6.1 Ownership

You retain all rights to the content you upload to Sutram. By uploading content, you grant us a limited license to store, process, and display that content as necessary to provide the service.

6.2 Responsibility

You are solely responsible for the content you upload and warrant that:

  • You hold the necessary rights to the content
  • The content does not infringe third-party rights
  • The content is not illegal or harmful

6.3 AI-Generated Content

Content may be generated within your projects with the help of AI models by two paths: the markdown editor's text suggestions (a platform feature) and the AI assistants you connect via MCP and APIs (for example, to build graphs, ontologies, and wiki pages).

  • Ownership: AI-generated content within your projects forms part of your content, under the terms of §6.1. We claim no ownership of it.
  • Probabilistic nature: AI-generated content may contain inaccuracies, omissions, or errors. It is provided "as is" and does not replace your own due diligence.
  • Assistants you connect: Sutram does not control and is not responsible for the behavior, quality, or terms of the AI assistants and models you choose to connect; the relationship with the model provider (or the operation of the model on your own infrastructure) is yours.
  • Human validation: you are responsible for reviewing and validating AI-generated content before using it — especially to approve any material decision: regulatory, engineering, health, legal, or financial decisions. The platform provides approval and traceability mechanisms for this purpose, and their use is your responsibility.
  • Sutram is not responsible for decisions made on the basis of AI-generated content that has been validated in accordance with the preceding item.

7. Acceptable Use

You agree NOT to use Sutram to:

  • Violate any applicable law or regulation
  • Upload illegal, defamatory, or obscene content
  • Distribute malware or malicious code
  • Attempt to access other users' accounts or data
  • Overload or interfere with the operation of the service
  • Collect other users' data without consent
  • Use the service for spam or unsolicited communications
  • Use the APIs, webhooks, or the MCP server to exceed reasonable usage limits, circumvent access controls, or extract data in bulk outside the authorized scope
  • Attempt to circumvent the platform's governance, approval, or audit mechanisms, including by means of instructions to AI agents
  • Share access tokens or integration credentials with unauthorized third parties

8. Suspension and Termination

8.1 By You

You may cancel your account at any time in settings. After cancellation, your data will be deleted in accordance with our Privacy Policy.

8.2 By Us

We may suspend or terminate your account if you violate these terms, with or without prior notice, depending on the severity of the violation.

9. Early Access Features

We may make features available as beta, preview, or early access — including within design-partner programs. These features are provided "as is," may be changed or discontinued without notice, and may be subject to supplementary terms agreed in writing.

10. Limitation of Liability

Sutram is provided "as is" and "as available." To the maximum extent permitted by applicable law:

  • We do not guarantee that the service will be uninterrupted or error-free.
  • We maintain backup and disaster-recovery procedures designed so that, in the event of infrastructure failure, accident, or disaster, data loss is limited to the interval between backups — currently up to 24 hours — with backups retained for up to 90 days, as described in the Privacy Policy.
  • These procedures do not cover content deleted by you or by authorized users of your account, nor content removed under these Terms of Use.
  • Export and copy under your control: Sutram makes available to the project owner, or to an administrator designated by them, a full-backup (export) feature for each project. We recommend periodic exports of your critical projects. Besides constituting an additional copy under your control, exports serve — together with the audit trail and version history — as an objective reference point for verifying any inconsistency or data loss. This recommendation supplements our joint backup and recovery efforts described above, which apply even to failures affecting the platform as a whole, and does not replace or reduce them.
  • Communication and mitigation: you must notify us at support@sutram.io as soon as you notice any sign of inconsistency, corruption, or loss of your content — the platform provides an audit trail and version history that assist with this verification. Because backups are retained for up to 90 days, recovery capacity depends directly on the timeliness of your communication. We are not liable for any aggravation of harm that a timely communication would have avoided.
  • Our total liability is limited to the amount you paid in the last 12 months.

Nothing in these Terms excludes or limits rights that applicable law — including the Consumer Protection Code (Código de Defesa do Consumidor), where applicable — does not permit to be excluded or limited. In such cases, our liability is limited to the smallest extent permitted by law.

11. Indemnification

You agree to indemnify and hold Sutram harmless from any claims, damages, or expenses arising from:

  • Your use of the service
  • Your violation of these terms
  • Your violation of third-party rights

12. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations resulting from a fortuitous event or force majeure, under Art. 393 of the Brazilian Civil Code (Código Civil) — including natural disasters, widespread third-party infrastructure failures, governmental acts, conflicts, and other events beyond its reasonable control. The affected obligations are suspended for the duration of the event, and the affected party shall use reasonable efforts to mitigate its effects and restore performance. This section does not affect payment obligations already due.

13. Changes to the Terms

We may modify these terms at any time. Material changes will be notified by email or by a notice within the service at least 30 days in advance.

14. Governing Law

These terms are governed by the laws of Brazil. Any dispute will be resolved in the courts of São Paulo, SP, Brazil.

15. Language and Prevalence

These terms are made available in several languages for convenience. In the event of any discrepancy between versions, the Portuguese version prevails and constitutes the legally binding document.
